Virtual Assistant Staffing Services Subscription Terms and Conditions
This is an agreement between Virtual Assistant Talent, LLC and client. Whereas Virtual Assistant Talent, LLC is providing client with Virtual Assistant Staffing Services. By submitting payment for our services, the client expressly agrees to the terms and conditions that follow.
Non-Circumvention: The client agrees not to solicit the Virtual Assistant on assignment with client for direct employment or direct independent contractor relationship with client without obtaining permission in writing from an officer of the Company. The client acknowledges that the Company’s relationships with its Virtual Assistants have been developed through significant time, effort, and expense; that such relationships are confidential information and trade secrets of the Company that promote the Company’s market competitiveness; and that a breach of this clause would be unfair competition. Client agrees not to engage in unfair competition with the Company. In the event that, after receiving the Company’s permission, the client or client’s entity hires the Virtual Assistant as a direct employee or direct independent contractor of client or client’s entity, the client agrees to pay the Company a one-time Virtual Assistant Placement Fee of $995.00. The parties acknowledge that the Company’s detriment for agreeing to a placement is difficult to ascertain at this time but that the foregoing fee represents a reasonable estimate.
Indemnification: Clients of the Virtual Assistant Staffing Service agree to indemnify, defend and hold harmless Virtual Assistant Talent, LLC (the “Agency”) and its affiliates, and their officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers, from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees and court costs, arising or resulting from the acts or failure to act of the Agency, its affiliates, its officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, suppliers, or Agency-supplied workers.
Products/Services/Pricing: Virtual Assistant Talent, LLC reserve the right to change future package offerings, pricing, and services at any time and without notice.
Virtual Assistant Recruitment/Placement Service Terms and Conditions
In exchange for payment of $995.00 (nine hundred ninety five dollars)*, Virtual Assistant Talent, LLC agrees to provide client with a Virtual Assistant that has been screened/interviewed and is acceptable to client. The client understands that the $995.00 is a placement fee only and that the client is responsible for paying the VA for any hours worked as mutually agreed upon by the client and the VA.
If at any point during the first 30 calendar days of client’s VA’s start date the client is unsatisfied with their VA or the VA is not performing, Virtual Assistant Talent, LLC will find and replace client’s VA for no additional charge.
Indemnification: Clients of the Virtual Assistant Temporary Staffing Service agree to indemnify, defend and hold harmless Virtual Assistant Talent, LLC (the “Agency”) and its affiliates, and their officers, directors, employees, contractors, agents, licensors, service providers, subcontractors and suppliers, from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees and court costs, arising or resulting from the acts or failure to act of the Agency, its affiliates, its officers, directors, employees, contractors, agents, licensors, service providers, subcontractors, suppliers, or Agency-supplied workers.
